Business Visibility Agreement

Specific Services
Smilii shall provide Google Adwords Account Management services for the Client owned website. As an Independent Contractor, Smilii will determine the methods, details, and means of performing the services. Services include, excluding optional add-ons:
Professional Setup
*(optional add-on)
Initial setup processing or account review. Includes site review, tracking & conversion code for web designers, and other onetime items required for the professional operation of Google Adwords. Setup/configuration/review and editing includes a “Google Engineer reviewing and editing” the strategy to maximize the performance of the campaign.
Management & Maintenance
Routine maintenance as necessary to keep the account functional.
Modifications & Additional work
As agreed to by a separate statement of work. This agreement does not authorize any additional work. A separate proposal will become an exhibit of this agreement if separately authorized by the client.
Compensation
Costs are detailed in the Business Visibility checkout pages. All cost amounts are subject to change with 30 days written notice to the client. Client agrees that they are responsible for all charges for advertisement delivery from Google or other advertisement servers.
No Performance Guarantee
The Client understands that marketing investments are inherently risky and that they understand and accept those risks with no recourse to Smilii for any direct or indirect damages. There are no specific sales, lead generation guarantees expressed or implied in this relationship. Smilii does not guarantee the response from any traffic or user interaction related to position in either paid or unpaid areas of the search engines.
Cancellation of Agreement
Client may cancel this agreement at any time AFTER the Minimum Term’s completion (Minimum term is written above the Order Now button on the Business Visibility checkout pages) with written notice to Smilii. Smilii shall make good faith efforts to immediately terminate all account activities and return control of the account to the client. Fees are billed in advance and the client forfeits any fees that have been billed to their credit card but not yet performed.
Entire Agreement of the Parties
This Agreement constitutes the entire agreement of the parties and supersedes all prior communications, understandings and agreements relating to the subject matter hereof, whether oral or written.
Arbitration
Any controversy or claim arising out of, or relating to, this Agreement, or the making, performance, or interpretation thereof, shall be settled by binding arbitration in Netanya, Israel, in accordance with the laws of Israel then existing, and judgment on the arbitration award may be entered in any court having jurisdiction over the subject matter of the controversy.
